Terms of Service

1. Fees and Payment

1.1 Per-Order Fee

You agree to pay the additional service fee quoted to you for each property address searched, transaction initiated, or order placed using the Service ("Per-Order Fee"). The Per-Order Fee is in addition to any underlying product or service cost shown to you.

1.2 Fee Acceptance

By confirming or proceeding with an order, you accept the Per-Order Fee for that order.

1.3 Payment Methods

We may collect payment by:

• Charging a credit or debit card you have provided;
• Adding our fee to an invoice we send you (payment due within 30 days of invoice date);
• Including our fee in a bill presented to your end-customer.

1.4 Late Payment

Overdue amounts may incur interest at 1.5% per month (or the maximum allowed by law, if less). We may suspend or terminate your access for non-payment.

2. Account Responsibility

You are responsible for all activity conducted under your account, including orders placed by your employees, contractors, or any person using your credentials.

3. No Guarantee of Accuracy

The Service provides access to documents, records, and other information (collectively, "Data") from various sources. We do not warrant that the Data is complete, accurate, or current. You acknowledge and agree that:

• We are not responsible for missing, incomplete, or inaccurate Data.

4. Limitation of Liability

To the fullest extent permitted by law:

• We will not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of business, or claims from third parties, arising from your use of or reliance on the Service or the Data.
• Our total liability to you for any claim will not exceed the total Per-Order Fees you paid to us in the 3 months preceding the claim.

5. Indemnification

You agree to indemnify, defend, and hold harmless GetHOADocs, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service;
• Your reliance on any Data; or
• Your breach of these Terms.

6. Service Changes and Termination

We may modify or discontinue the Service at any time. We may suspend or terminate your account immediately if you violate these Terms or fail to pay amounts due.

7. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law rules. Any disputes will be resolved exclusively in the state or federal courts located in Delaware.

8. Entire Agreement

These Terms constitute the entire agreement between you and GetHOADocs regarding the Service and supersede all prior agreements.
